Well, since the Ubisoft promo clip strongly suggested that the videogame will include The Shredder (when the guy was talking about a specific character, it was bleeped out with a clipart Shredder over the dude's mouth), I wouldn't at all be surprised if that's the only medium in which the movie involves him at all. However, I'd be surprised but not disappointed if we don't see him even for a second in a flashback sequence or otherwise in the film itself. While I'm not one of those who dislikes the character just because he seems to be used more often than he should (nor do I believe that to be true), I'm not really anxious to see him again so soon.

Can't wait for your novelization, Murph. That, and the prequel comics that I think we've been told are supposed to be canon, but I'm guessing that may change before the sequel comes around. Max Winters looks like a D&D geek trapped in a jock's body though. ^_^ What's up with that?

I said this like 5 times before, he's in the game so they made a toy of him.

Like Turtle Bot and the Giant Mouser from the TMNT game. They weren't in the show when those toys were made. Turtle Bot showed up much later.

If Shredder's not in the film the figure could be based off the video game design. After all it's pretty much confirmed that he's in the game (though not in what capacity). They've done video game figures before (Giant Mouser, etc.) so the figure may not be based on the movie.

well unless its released way later, I see a lot of kids dissapointed and asking why he is not there.
Also they don't normally make toys out of the videogame, its usually the other way around if anything, that is why I find it odd. It could be just they did it since they have the license to go ahead and do a shredder (and reason why it looks like the new toon shredder).
And Shredder could not be in the game, just because it bleeps with a shredder image is not a confirmation. And why was it bleeped? if its not in the movie they shouldn't care, especially if they announced it that he would not be the movie). I doubt for a 'surprise' since they pretty much give it away.
Though it wouldn't be the first time a movie game has more villians from the franchise not in the movie. Though the toylines never do this.

I seem to recall a Newsarama article that had an interview with the director of the new TMNT and he pretty much let it slip in the article that the Shredder might be popping up at the end and setting up for a sequel.

Tommorrow I'll search for the article since Newsarama is having it's daily downtime.
